Dorsey & Whitney Represents Entone in Acquisition by Amino


Dorsey client Entone (News - Alert), Inc., a global leader of Cloud TV and Connected Home solutions, has entered into a definitive agreement to be acquired by Amino Technologies plc, for a total consideration of $73.0 million. The deal can be expected to close in the third quarter of 2015, and is subject to customary conditions and regulatory approvals.

The acquisition will better position the Cambridge-based IPTV (News - Alert), Internet TV and in-home multimedia distribution provider to support their customers with an expanded global footprint and scale.

Dorsey represented Entone in the transaction. Corporate attorney Terence Kelly led the team, which included Cara Frisbie, Nicole Giuntoli, Kyle Leingang and Kymra Archibald (Corporate); Tim Arends and Jamison Klang (Benefits and Compensation); John Chase and Carol Wang (ax); David Murphy (Labor & Employment); Rhona Schmidt and Steven Fang (Technology Commerce); Jeff Cadwell (Trademark, Copyright and Brand Management); Melissa Krasnow (Corporate and Privacy); and Lawrence Ward (Export Control).



For assistance relating to matters of English law due to location of the Acquiror in the U.K. Dorsey called on lawyers in the London office, Mark Taylor and David Elphinstone (Corporate); Michael Cashman (Tax); and Juliet Carp (Labor and Employment). Simon Chan (Corporate) assisted with regard to issues related to the Hong Kong subsidiary of Entone.
